Values of n / Stikkit: Summary of Your Rights and Obligations

Values of n provides services (“Services”) available on our Web site ("Site") at http://www.stikkit.com to you (“you” or the “User”).

NOTE

A. YOUR REGISTRATION OBLIGATIONS.

We provide the Services for your personal use. You may not use the Services to conduct business without a separate written contract with Values of n. To obtain and use the Services, you will be required to register with Values of n by completing a registration form and designating a user name (a.k.a. a "nickname"), a user ID, and a password. When registering with Values of n you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You are fully responsible for all activities that occur under your user ID or password, and may not authorize any third party to access or use the Services on your behalf.

B. CONSENT TO ELECTRONIC COMMUNICATIONS AND SOLICITATION.

By registering with Values of n, you understand that we may send you certain communications or data from Values of n regarding the Services. We give you the opportunity to opt-out of receiving electronic mail from us by following the opt-out instructions provided in the message.

C. USER CONDUCT/ACCEPTABLE USE POLICY.

You may not use the Services in any way that violates applicable federal, state, or international law, or for any unlawful purpose. In addition, you may not use the Services to send, receive, or download messages or materials that are inappropriate or violate the intellectual property rights of Values of n or others. To the extent that the Services provide Users an opportunity to post, store and exchange information, materials, data, files, programs, ideas and opinions ("User Content"), you hereby represent and warrant that you have all necessary rights in and to all User Content you provide and all information contained therein. Values of n has the right, but not the obligation, to edit or remove any content or other material that it, in its sole discretion, finds to be in violation of the provisions of these Terms of Use, or for any other reason. You acknowledge and agree that Values of n shall not assume or have any liability for any action or inaction by Values of n with respect to any User Content. All contents of the Values of n's Site and Services including but not limited to design, text, software, technical drawings, configurations, graphics, other files, and their selection and arrangement ("Content") are: Copyright © 2006 Values of n, and/or the proprietary property of its suppliers, affiliates, or licensors. Values of n, valuesofn.com, the Values of n logo, Stikkit, stikkit.com, and the Stikkit logo are including without limitation, either trademarks, service marks or registered trademarks of Values of n, and may not be copied, imitated, or used, in whole or in part, without Values of n's prior written permission or that of our suppliers or licensors. Other product and company names may be trade or service marks of their respective owners. Values of n may have patents, patent applications, trademarks, copyrights, or other intellectual property rights covering subject matter in its Site that are part of the Services. Unless we have granted you licenses to our intellectual property in these Terms of Use, our providing you with such Web pages does not give you any license to our intellectual property. Any rights not expressly granted herein are reserved.

E. NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT.

Values of n respects copyright law and expects Users to do the same. It is our policy, in appropriate circumstances and at its discretion, to disable and/or terminate the accounts of Users who may infringe or repeatedly infringe the copyrights or other intellectual property rights of Values of n and/or others.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Values of n's Agent for Notice of claims of copyright or other intellectual property infringement ("Agent") the written information specified below: (1) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (2) A description of the copyrighted work that you claim has been infringed upon; (3) A description of where the material that you claim is infringing is located on the Web site; (4) Your address, telephone number, and e-mail address; (5) A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (6) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

F. THIRD PARTY CONTENT, SITES AND SERVICES.

We provide links to third-party Web sites as a service to our users. We are not responsible for the content or information collection practices of those sites, and you irrevocably waive any claim against us with respect to such sites and third-party content. Please note that these Web sites' privacy policies will differ from those of Values of n.

G. TERMINATION OF SERVICE.

We may terminate or suspend your access to the Services at any time, in our sole discretion, without cause and/or without notice.

H. INTERNATIONAL USERS.

By using the Services, Users understand and consent to the storing and processing of personal information in the United States.

I. COLLECTION OF INFORMATION

a. Information You Give Us

  • Registration and Transaction Information. When you register to use the Services, we may collect various kinds of contact information, including your name; address; telephone number; e-mail address; images and pictures; and financial information. Note that Values of n does not store credit card information; credit card transactions are transmitted to a financial gateway. We may also collect personal information if you provide it via e-mail, message boards, or other interactive services. Please do not post any information that you expect to keep private.
  • Submissions and Customer Service. From time-to-time, we may post surveys, contests, or sweepstakes on our Service, which may request demographic information and customer feedback. Also, we may collect information that identifies you personally when you send us comments, questions or suggestions, or if you send us job applications, resumes, or other business-related contacts.

b. Automatically Collected Information

We automatically receive certain types of information whenever you interact with us. For example, when you use the Services, our systems automatically collect your IP address and the type of browser or operating system you use. We may also collect information pertaining to any transactions conducted by you on the Site, information pertaining to the files accessed or used by you, and standard access information, such as the time and date of accessing the Services, and usage of the Services. This data may be correlated with your user-chosen ID.

  • Cookies. We may use cookies to collect information so that we can improve our Site by seeing which areas and features are most popular; to personalize the Site and improve the Site experience; to allow you to visit the Site without re-entering your user ID and/or password; and to track and complete transactions you have requested.
  • Web Beacons. "Web beacons" allow us to collect standard access information, such as time and date of a page view, and a description of the page on which the Web beacon resides. Our Web beacons do not contain any personal information and we do not link Web beacons to personal information about you.

c. No Information about Children

Our Services is not intended to be used by children under the age of 13, and we do not knowingly, directly or passively, collect information from children under the age of 13. If we create offers and products that make it appropriate to collect information from children under the age of 13, we will notify you of the change in this Policy.

J. USE OF PERSONAL INFORMATION

  • Use of Personal Information. All contact information and content submitted by you is stored indefinitely in our database and may be archived elsewhere. At least our system administrators and support personnel will have access to your personal information. In general, we use personal information internally to serve our users and enable them to take maximum advantage of our Service.
  • Disclosure of Personal Information. We do not rent, sell, or share personal information about you with other people or non-affiliated companies except (i) as necessary to complete a transaction you have requested, (ii) as necessary to perform internal analyses and business functions, (iii) as part of a business transfer, or (iv) when required by law or permitted to protect our rights, property, or safety.

K. NETWORK AND INFORMATION SECURITY

We use commercially reasonable efforts to protect your personal information, including safeguards such as back-ups, encryption, and transaction recording to avoid loss, misuse, alteration, or destruction of collected information. In addition, Values of N may utilize secure technology to transfer information provided by users, and additional measures in the processing of sensitive information.

L. CALIFORNIA PRIVACY RIGHTS

California Civil Code Section 1798.83 permits customers who are California residents to request certain information regarding disclosure of personal information to third parties for their direct marketing purposes. We do not provide your personal information to any third party for their direct marketing purposes without your consent.
